The client ("Buyer") desires to purchase research MATERIAL from https://statesidebio.com ("Stateside Bio" herein referred to as Company). The purpose of this Agreement is to allow the parties to determine the conditions and restrictions of the sale and purchase of the material. As used herein, the term "MATERIAL" means any product and/or services which Buyer purchases or obtains from Stateside Bio including, but not limited to, peptides, proteins, liquids, powders, chemicals, labware, and hardware.

By accessing, purchasing from, or placing an order through Stateside Bio (Company), you (Buyer) agree to be bound by these Terms and Conditions (https://statesidebio.com/terms-conditions). These Terms govern all sales and use of Company products, including but not limited to research peptides, white labeled products, and related materials (MATERIAL).

Buyer represents and warrants that purchase, possession, and use of MATERIAL comply with all applicable federal, state, and local laws. Buyer is solely responsible for verifying the legality of acquisition and intended use in the relevant jurisdiction. MATERIALS may not be exported, resold, or distributed in violation of United States export control laws.

All MATERIALS sold by the Company are intended solely for lawful, non human use as follows. Research Use Only (RUO) compounds are sold for laboratory, analytical, or educational research use only, and not for human or veterinary use, drug development, diagnostic, or therapeutic purposes. Nothing in these Terms grants a license or right, by implication or otherwise, under any Company or third party intellectual property rights.

Purchases may only be made by authorized research institutions or laboratories registered and approved by the Company. The Company reserves the right to deny, revoke, or suspend account access at any time for noncompliance.

During checkout, Buyer must confirm they have read and agree to these Terms. Timestamp, IP address, and order metadata may be logged as legal acknowledgment of this agreement.

The Buyer of this MATERIAL conveys to Stateside Bio the limited, non-transferable right to use the purchased amount of the MATERIAL only to perform internal research for the sole benefit of the Buyer. No right to resell this product or any of its components is conveyed expressly, by implication, or by estoppel. Buyer warrants to Stateside Bio that it will not export the MATERIAL for any purpose. This product is for internal research purposes only and is not for use in commercial applications of any kind, including, without limitation, quality control and commercial services such as reporting the results of Buyer's activities for a fee or other form of consideration. If the Buyer intends to sell, supply, repackage, relabeled or use as starting MATERIAL or components of other MATERIAL, or in any way provide the MATERIAL to a third party, then the Buyer agrees to document the third party and provide the third party's information to Stateside Bio for verification and approval. The Buyer agrees to obtain Stateside Bio's expressed written approval PRIOR to Buyer providing any MATERIAL to any third party.

Buyer agrees to indemnify, defend, and hold harmless the Company, its officers, employees, and affiliates from any and all claims, liabilities, damages, expenses, or penalties arising from misuse, mislabeling, unauthorized marketing, or resale of MATERIALS. Buyer agrees that Stateside Bio will not take any legal responsibilities for improper usage of our MATERIAL. In no event shall Stateside Bio, or any of its affiliates be liable for special, incidental or consequential damages, whether Buyer's claim in contract, negligence, strict liability or otherwise. In consideration of the sale of the product to the Buyer, which sales we would not otherwise make, Buyer agrees to indemnify and hold Stateside Bio harmless from all claims, expenses, losses and liability of any nature whatsoever arising out of Buyer's handling and/or use of any product sold here, whether used alone or in combination with any other substance no matter what it's origination.

All MATERIALS are sold as is without warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or performance.

In no event shall the Company be liable for indirect, incidental, consequential, or punitive damages related to the use, misuse, or handling of MATERIALS.

Unauthorized repackaging, relabeling, or resale of MATERIALS is prohibited. Resellers must hold a valid Peptide Reseller Certificate. No rights to use Company trademarks or other intellectual property are granted unless explicitly authorized in writing by the Company.

MATERIALS may not be marketed on Amazon, EBay, Etsy, Meta or Facebook, or other platforms that prohibit research only substances. All marketing and advertising must prominently display "For Research Use Only, Not Approved for Human or Veterinary Use".

The Company retains the right to audit marketing materials, packaging, or online listings to ensure compliance with these Terms. Refusal to cooperate with a compliance audit may result in account termination.

The Company may suspend or terminate any Buyer account without notice for breach of these Terms, including noncompliance with labeling, marketing, or reseller documentation requirements.

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles.

The Company may revise these Terms at any time. Updated Terms will be posted publicly, and Buyers may be required to re acknowledge the Terms before placing new orders. The Company may maintain version history for transparency.
